Terms of service

Provider and business use

These terms govern CertCue, a service operated by AGENTIC SYSTEMS S.R.L., registered office at Bulevardul Pipera 84D, Voluntari, Ilfov County, Romania, CUI 55009198, Trade Register no. J2026041331006, EUID ROONRC.J2026041331006, telephone +40 728 254 395. CertCue is offered for business and professional use, not personal or household consumer use. Acceptance and authority

By creating a workspace, accepting an invitation, or purchasing a plan, you agree to these terms and confirm that you have authority to bind the organization you represent. If you do not agree, do not use or purchase the service.

Workflow tool only

CertCue helps organize vendor paperwork. It is not an insurer, broker, attorney, tax adviser, auditor, certification authority, or compliance verifier.

Customer responsibility

You remain responsible for verifying documents and coverage, setting correct requirements and dates, obtaining rights and lawful grounds for uploaded data, controlling team access, maintaining exports appropriate to your business, and meeting contractual, insurance, tax, privacy, retention, and regulatory obligations.

Accounts and security

Use accurate account information, protect sign-in links and devices, and promptly remove users who should no longer have access. You are responsible for activity by users you authorize. Notify support promptly of suspected unauthorized access.

Plans, taxes, and renewal

Starter is free. Team and Pro are monthly subscriptions charged through Stripe and renew automatically until cancelled. Displayed subscription prices exclude applicable VAT, sales tax, and similar charges; Stripe shows the amount due before payment. You authorize Stripe to charge the selected plan and applicable taxes. CertCue never asks you to send card or bank details by email or support form.

Electronic contract

Before paying, Stripe Checkout shows the selected product, billing interval, price, applicable taxes, and a terms-acceptance control. You can correct payment and billing information before submitting. The contract is made in English when payment is confirmed. Stripe provides the payment record, and these terms remain available to store or print from this page.

Cancellation, access, and refunds

You can cancel through the Stripe billing portal. Cancellation normally stops the next renewal and paid access continues through the current paid period unless Stripe states otherwise. Export needed workspace data before access ends. Except where law requires or CertCue confirms a service-side billing error or paid-access failure, completed subscription charges are non-refundable. Contact support promptly about duplicate or incorrect charges.

Acceptable use

Do not break the law; infringe rights; upload malware or unlawfully obtained data; probe, bypass, or overload security controls; share access outside your organization without permission; resell the service without agreement; or use CertCue to make solely automated decisions with legal or similarly significant effects on individuals.

Customer data and confidentiality

You retain ownership of customer data. You grant CertCue the limited right to host, process, transmit, back up, and display it to provide and secure the service. Each party must protect the other's non-public business information and may disclose it where law requires.

Service changes and availability

We may improve or modify features while preserving the core paid workflow in material respects. Planned maintenance, emergency security work, and third-party incidents may affect availability. No guaranteed uptime or response-time service level applies unless agreed in writing.

Intellectual property

CertCue, its software, branding, and documentation remain the property of the provider and its licensors. These terms grant a limited, non-exclusive, non-transferable right to use the service during the applicable plan. Feedback may be used without restriction or payment, without identifying confidential customer information.

Third-party services

Cloudflare, Supabase, Stripe, email delivery, and other necessary providers support CertCue. Their own terms and availability may apply to their services. CertCue is not responsible for customer systems, internet access, or third-party products that it does not control.

Disclaimers and liability

To the maximum extent permitted by law, CertCue is provided as available without warranties not expressly stated here. The provider is not liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data. Aggregate liability arising from the service is limited to subscription fees paid for CertCue in the 12 months before the event giving rise to the claim. Nothing excludes liability that cannot legally be excluded, including liability for fraud, wilful misconduct, or gross negligence where applicable.

Suspension and termination

We may suspend access reasonably necessary to address non-payment, security risk, unlawful use, or material breach, and will provide notice where practicable. Either party may end use by cancelling the subscription; provisions that by nature should survive termination continue to apply.

Governing law and disputes

These terms are governed by Romanian law, without limiting mandatory rules that cannot be excluded. The parties will first try to resolve disputes through support in good faith. Courts with jurisdiction over the provider's registered office will have jurisdiction where the parties may validly agree to it.

Changes and support

Material terms changes will be posted with a new effective date and, where required, notice. Continued use after the effective date means acceptance where law permits. Support is available through support@cert-cue.com.
